1. Definitions

• “Client Materials”: Artwork, logos, label copy, packaging designs, or other proprietary assets you provide for private labeling.
• “Products”: Research-grade peptides, reagents, and related laboratory consumables supplied by us.
• “Research Only”: Indicates Products and Services are strictly for in vitro laboratory research, not for clinical, diagnostic, or therapeutic use.
• “Private Label Services”: Custom branding, packaging, and labeling services provided by us using your Client Materials on Products.

2. Eligibility & Compliance

2.1 Eligibility

Services are available only to licensed laboratories, academic institutions, or healthcare professionals with valid NPI, DEA, or U.S. Tax ID.

2.2 Regulatory Compliance

• You must comply with all applicable federal, state, and local laws, including DEA regulations and import/export controls.
• You will not use Products beyond their Research Only designation.

3. Account Registration & Security

3.1 Registration

You must create an account at BrandMyPeptides.com, providing accurate legal name, license information, shipping address, and payment details.

3.2 Credentials

You are solely responsible for account security and for any activity under your account. Notify us immediately of any unauthorized use.

4. Private Label Services Terms

4.1 Artwork Submission & Approval

Submit Client Materials in the requested file formats. We will review for regulatory compliance, legibility, and fit; we may request revisions.

4.2 Minimum Order Quantities (MOQ)

Each Product and packaging format has a published MOQ; orders below MOQ may incur surcharges or be declined.

4.3 Production & Turnaround

Standard turnaround: 4–6 weeks after final artwork approval. Rush production: Available upon request and subject to additional fees and capacity.

4.4 Labeling & Packaging

All labels will display “For Research Use Only” and other disclaimers as required. You warrant that all claims and representations on your labels are accurate and lawful.

4.5 Proofing

A digital proof will be provided for your approval prior to production. You must sign off on final proofs; thereafter, you assume responsibility for errors.

5. Orders, Pricing & Payment

5.1 Order Placement

Orders must be placed through your online account. Email or phone orders require written confirmation.

5.2 Pricing

All prices in U.S. dollars, exclusive of taxes and shipping. We reserve the right to adjust pricing based on raw-material costs or regulatory changes.

5.3 Payment Terms

Full payment is due at order placement. We accept credit cards, ACH, and wire transfers. Late payments incur interest at 1.5% per month or the maximum allowed by law.

5.4 Taxes

You are responsible for all applicable taxes unless valid exemption certificates are provided.

6. Shipping & Delivery

6.1 Shipping Options

Free standard domestic shipping for orders over a specified threshold. Expedited and international shipping available at additional cost.

6.2 Risk of Loss

Title and risk pass to you upon delivery to the carrier. Inspect shipments immediately and report damage, shortages, or discrepancies within three business days.

6.3 Import/Export Compliance

For international shipments, you handle import permits, customs duties, and local regulatory compliance.

7. Cancellations, Returns & Refunds

7.1 Cancellations

You may cancel or modify orders within 24 hours of placement without penalty. Beyond 24 hours, cancellations are subject to fees up to 100% of order value.

7.2 Defective Products

Report defects or mislabeling within 14 days of receipt. Upon inspection confirmation, we will replace or refund at our discretion.

7.3 No General Returns

Due to the nature of research-grade Products, other returns or refunds are not accepted.

8. Use Restrictions & Disclaimers

8.1 Research Use Only

Products are not for human or animal administration. All derivative materials must bear the “For Research Use Only” statement.

8.2 No Clinical Claims

You may not market Products for diagnostic, therapeutic, or preventive use.

8.3 Product Disclaimer

We operate as a chemical supplier, not a compounding or FDA-regulated facility. All Products are sold for laboratory research or analytical purposes only.

9. Intellectual Property & Confidentiality

9.1 Ownership

We retain IP rights in our proprietary formulations and processes. You retain ownership of Client Materials.

9.2 License

You grant us a non-exclusive, royalty-free license to use Client Materials solely to perform Services.

9.3 Confidentiality

Both parties agree to protect non-public information disclosed in connection with Services, using at least the same care as for their own confidential data.

10. Warranties & Indemnification

10.1 Limited Warranty

We warrant that Products conform to their published specifications at shipment.

10.2 Disclaimer

Except as expressly provided, all other warranties, express or implied (including merchantability or fitness for a particular purpose), are disclaimed.

10.3 Indemnification

You agree to indemnify and hold us harmless from any third-party claims arising from your breach of these Terms, misuse of Products, or use of Client Materials.

11. Limitation of Liability

Our liability is limited to the amount you paid for the products or services giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages.

12. Termination

12.1 For Cause

We may suspend or terminate Services and cancel orders immediately if you breach these Terms, engage in unauthorized resale, or jeopardize product integrity.

12.2 Effects

Termination does not relieve you of outstanding payment obligations.

13. Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, pandemics, government actions, or supply chain disruptions.

14. Changes to Terms

We may update these Terms at any time by posting a revised version at BrandMyPeptides.com/terms. Continued use constitutes acceptance.

15. Governing Law & Dispute Resolution

Governed by the laws of the State of Georgia, U.S.A., without regard to conflict-of-law principles.

Exclusive venue: state or federal courts in Fulton County, Georgia.

16. Miscellaneous

Waiver & Severability: No waiver is effective unless in writing; invalid provisions do not affect remaining Terms.

Entire Agreement: These Terms, your Order Forms, and the Peptide Purchase Waiver & Release constitute the entire agreement between you and BrandMyPeptides.com.
